Welcome to Proxero, a mobile application owned and operated by ROLN Studios SRL ("we," "us," "our"), headquartered in Romania, Bucharest, Iuliu Maniu Blv., nr. 7, building 1, office nr. 2.11, compart. 12, fl. 2, having CUI 49256070. These Terms and Conditions ("Terms") govern your access to and use of the Proxero application ("App"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use this App.
1. Use of The App
1.1 By using Proxero, you agree to comply with these Terms and our End User License Agreement (EULA), which governs the use of the App. Your acceptance of the EULA is required to access and use the App. If you do not agree to the EULA, you must not use the App.
1.2 To use Proxero, you must be at least 17 years old. By using the App, you represent and warrant that you meet this age requirement.
1.3 To access certain features of the App, you may be required to register for an account. When you register, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information to keep it accurate, current, and complete.
- Maintain the security of your password and accept all risks of unauthorized access to your account.
- Notify us immediately if you suspect any unauthorized use of your account or any other breach of security.
2. User Content and Conduct
2.1 Proxero allows you to create posts based on your location, which will appear as post bubbles on the map. By creating and posting content ("User Content"), you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, store, display, reproduce, save, modify, create derivative works, perform, and distribute your User Content on the App.
2.2 You agree not to post any User Content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Violates any third-party rights, including intellectual property rights.
- Contains any viruses, malware, or other harmful code.
- Zero Tolerance Policy: We have a zero tolerance policy for objectionable content and abusive behavior. This includes, but is not limited to, hate speech, harassment, bullying, and explicit content. Violations may result in the immediate suspension or termination of your account.
2.3 We reserve the right to monitor, review, and remove User Content at our discretion for any reason, including if it violates these Terms or our zero tolerance policy.
2.4 User Content will automatically disappear after 24 hours of post inactivity. We do not guarantee that User Content will be retrievable after this period.
3. User Conduct
3.1 You agree not to:
- Use the App for any illegal or unauthorized purpose.
- Access, tamper with, or use non-public areas of the App.
- Interfere with or disrupt the integrity or performance of the App or any data contained therein.
- Attempt to gain unauthorized access to the App or its related systems or networks.
4. Intellectual Property
4.1 The App, including its content, features, and functionality, is owned by ROLN Studios SRL and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
4.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the App on your personal device(s) solely for your personal, non-commercial use.
5. Privacy
5.1 Your use of the App is also governed by our Privacy Policy, which can be found at https://roln.io/privacy.html. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.
6. Termination
6.1 You may terminate your account at any time by following the instructions within the App or by contacting us.
6.2 We may terminate or suspend your account and access to the App at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms.
6.3 Upon termination, your right to use the App will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
7. Disclaimer of Warranties
7.1 The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
8. Limitation of Liability
8.1 In no event shall ROLN Studios SRL, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the App.
- Any conduct or content of any third party on the App.
- Any content obtained from the App.
- Unauthorized access, use, or alteration of your transmissions or content.
9. Indemnification
9.1 You agree to defend, indemnify, and hold harmless ROLN Studios SRL and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access to the App.
- A breach of these Terms.
- Your User Content.
10. Governing Law
10.1 These Terms shall be governed and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
